Terms and Conditions

FOR LEASE OF THE DREAM COLLECTION JEWELLERY DISPLAY STAND KNOWN AS THE “SPINNER”.

This Agreement outlines the terms and conditions under which Our Company (“the Company” The Diamond Republic) leases a Dream Collection jewellery display stand (“the Spinner”) to you, the Retailer (“the Retailer”).

1. Ownership

The Spinner remains the sole property of the Company at all times. The stock is purchased and owned by the Retailer.

The Retailer acknowledges that no ownership or proprietary rights of the spinner are transferred under this lease.

2. Permitted Use

The Spinner is provided exclusively for the display of merchandise supplied by the Company. The Retailer must not use the Spinner to display any other brand, supplier, or third-party stock.

The Spinner must not be moved off the premises without prior written consent from the Company.

Reserve stock should be secured by the retailer in a secure location.

3. Advertising of Third-Party Branded Stock

The Retailer may advertise Dream Collection merchandise within their store or through external marketing channels only if such advertising does not reference, involve, or appear to infer the Retailer is the owner of the name, brand, or products’ design provided by the Diamond Republic.

The Retailer must not display any third-party advertising materials (e.g., signage, brochures, posters, digital media) on the Spinner, or in a way that may reasonably suggest an affiliation with that 3rd party Company’s brand or products.

Any marketing or promotional activities by the Retailer that involve the Spinner must be exclusively for the Company’s products.

The Company reserves the right to request the removal or amendment of any third-party advertising it reasonably deems in conflict with this clause, and the Retailer must comply within 3 business days of such request.

4. Set up and Replenishment

The Spinner will be initially delivered with 80 items of jewellery selected from the Dream Collection. The set-up stock has been pre-determined by the Company and will not be altered unless there is a shortage of stock that cannot be fulfilled within an acceptable period of time.

Replenishment stock must only be selected by the Retailer from the Diamond Republic website.

Replenishment is expected to occur monthly at an average of AU$120.00 (wholesale) per month. If the Retailer has not achieved this average in a quarter (3 months of January to March, April to June, July to September, October to December) the Retailer and Company will discuss the ongoing supply of the Spinner and stock within it and determine if the lease is to continue.

A Retailer may replenish their Spinner using any stock from the Diamond Republic website. GST and Shipping will be added to the final invoice. Unless otherwise agreed a Retailer is limited to replenish at a rate of 3 (three) items that are identical in design and construct in any given month.

Retailers are encouraged to order some additional stock to replenish those items sold so as to avoid gaps created in the Spinner. Retailers may purchase additional magnetic boxes to replenish those sold to consumers. Cost of boxes and shipping are as per the Diamond Republic website. From time to time the Diamond Republic will provide Retailers with promotional boxes in different colours. These would typically include Christmas, Mothers’ Day, Valentine’s Day, and Sale periods.  Boxes are sold in minimum lots of 80 initially then lots of 10 (ten) thereafter.   

Replenishment costs and delivery costs my change from time to time due to changes in suppliers’ pricing or services. The Retailer must use their own discretion as to purchases when pricing changes.

The Retailer may choose their own RRP on stock contained in the Spinner. The Company will provide guidelines as to RRP so that Retailers are aware of other stockists’ potential pricing.

5. Condition and Maintenance

The Spinner must be kept in clean, good, and serviceable condition. The Retailer is responsible for basic day-to-day care but must not make any alterations or repairs.

Any damage or issues must be reported to the Company within 3 business days of occurrence.

6. Inspection Rights

The Company reserves the right to inspect the Spinner during reasonable business hours with prior notice.

7. Duration and Termination

The lease continues until terminated by either party with 14 days’ written notice.

The Company may terminate the lease immediately if:

·         The Spinner is misused or used for unauthorised purposes. In particular, the use of the Spinner to promote non-Dream Collection stock.

·         The Retailer breaches any of these terms.

8. Return of Spinner

Upon termination of the lease, the Retailer must return the Spinner in good condition, subject to fair wear and tear, at their cost. The Spinner’s four (4) keys and spares must also be returned.

If the Spinner is damaged, lost, or not returned, the Retailer may be liable for the replacement cost.

9. Liability

The Company is not liable for any loss, damage, or injury arising from the use of the Spinner.

The Company is not responsible for the security of the Spinner, or the stock contained within the Spinner other than to provide a lockable unit with keys to each door plus a spare key. The Retailer should keep the Spinner door keys in a secure location at all times.

The Retailer assumes all risk and responsibility while the Spinner is in their possession.

    10. Insurance

The Retailer is encouraged to ensure their premises insurance covers damage or loss of the leased Spinner and the value of the Spinner and its contents is considered in any insurance premium.

 

11. No Assignment

The Retailer may not assign, sublet, or transfer any rights or obligations under this lease to another party.

12. Governing Law

This Agreement is governed by the laws of the state or territory in which the Spinner is located in Australia.
